Abstract


Convertible bond investors’ interests protection involve corporate,securities,trustlaw and many other laws and department rules on the contents of the convertiblebondholders’ interests protection in our current legal system is far from perfect,thereare many areas for improvement,in conjunction with other relevant researchresults,coupled with their own thinking,I hope can be more in-depth understanding ofthe legal system for the protection of the interests of the bondholders,convertibleinterest in the protection of the holders of Convertible the further improvement of thelegal system of a certain role in promoting.The first chapter of convertible bonds to investors ’rights, this chapter introducesthe characteristics of the convertible bonds, convertible bond investors enjoyed rightsand the protection of investors’ rights of convertible bonds significance. Convertiblebonds discussed in this article is a way to convert the company’s shares a bond issueconvertible bonds, holders of the bonds shall be entitled during the conversion of thebonds in accordance with the freedom of choice, whether in accordance with thepredetermined conversion will convert the bonds into stock of the issuing company, orrequire the issue of bonds in the bond expiring in accordance with the interest rate onthe coupon payment of principal and interest, therefore, also known as "security at theend of the stock."Debt, equity and convertible three main features, which,conversion of convertible corporate bonds is the most important feature. Focuses onthe conversion rights of convertible corporate bond investors enjoy the right to thecore. The second chapter introduces the current convertible bonds to investors’ rightsprotection system, including the credit rating system, the sell-back system,anti-dilution system. The third chapter analyzes the defects of the existing convertiblebonds to investors’ rights protection system. The fourth chapter describes the legalsystem foreign convertible corporate bonds rights protection system in moredeveloped countries such as the United States and Japan, the credit rating system togive our convertible corporate bond investors rights protection and the improvementof the system to provide inspiration and reference. Finally, the fifth chapter introduces the author of Perfecting mesh convertible corporate bond investors’ rights protectionsystem in some of the shortcomings of reflection and discussion. Including theimprovement of the system of credit rating, bond investors conference system perfect,trust system improvement and sale back system perfect.
