Abstract


In order to realize their own strategic planning and goals and the rapid development and expansion to achieve the maximization of the interests of enterprises, modern enterprises mergers and acquisitions is the only way. Geely merges Volvo forS1.8 billion in 2010, CNOOC merges Pan American Energy for S 7,billion, Mengniu merges Jun Lok Po, China Resources Gas merges Zhengzhou Gas and China Gas acquires Zhongyu Gas, etc..All of these fully show domestic enterprises have mergers and acquisitions as a weapon to launch a large-scale development sprint. Domestic government also promote strongly mergers and acquisitions among local enterprises,.to promote the continuous development of the economy and embark on a virtuous cycle of economic development. For instance: Shanxi provincial government the lead the integration of the industry of province coal enterprises, Government of Henan Province SASAC Subordinate units-Yongmei Group, Coking Coal Group, Crane Coal Group, the Provincial Gas Group and the five large state-owned enterprises under Zhongyuan Dahua Group and re-establishe in the province’s largest enterprises-Henan Coal Chemical Industry Group, lead the integration of Pingmei Group and God Ma to set up Zhongping group restructuring of the company can. Through the success of enterprise mergers and acquisitions, it can expand business scale and increase the ability to resist risks of the enterprise, while improve business efficiency.For the long-term development of enterprises, Gas Group Co., Ltd. of Henan Province adjust the development strategy of enterprises, and prepare to extend the chain to the end of city gas operating industry and make enterprise development as a new pillar. Based on this, Henan Gas Group Co., Ltd. intends to Mianchi Huasheng Gas Company Limited for mergers and acquisitions. As a key member of the mergers and acquisitions team the author carries out a project preliminary analysis of this study. This paper argues the mergers and acquisitions background of the project, introduce the significance of mergers and acquisitions, carries out a detailed analysis of the possibility of mergers and acquisitions, shows the nature of this acquisition, make a basic introduction of the process of mergers and acquisitions, conducts a serious investigation and study of the Mianchi County Gas, analyzes the gas consumption of current and future situation on the basis of the detailed data.In accordance with the merger-related methods estimates the value of the Mianchi Huasheng Gas Enterprise, makes the analysis and prediction of the investment effectiveness of this the mergers and acquisitions projects, makes the plan on the methods and processes for the he mergers and acquisitions, and analyzes the possible risks and control and avoidance method of the risk. This analysis played an important reference on the decision-making of the mergers and acquisitions of Mianchi gas company to the Henan Province, China Gas, and is fully learned in practical application.
