Abstract


For many years, as the only cooperation financial institution, the rural credit cooperatives of China undertakes the mission of providing financial services for rural areas. Based on the different condition of different areas, the central refers that the rural credit cooperatives mode is one of the path of reform in the new round reform project of the rural credit cooperatives, the reform can improve the further development of rural finance, and provide the continued financial support.This paper analyses the reform trend of rural credit cooperatives, and researches the vitality of cooperatives in XZ city, the purpose is to reveal the important meaning of cooperatives in industrialization of agriculture developed regions. The rural cooperative bank reflects the unity of democratic management and equity management in the design of corporate governance structure. The XZ rural credit cooperatives are changed as XZ rural cooperative bank at 2008. At recent three years, the financial index of XZ rural cooperative bank is steadily rising, but they also expose some problems. In this paper take XZ rural cooperative bank as research object, and combining the years of myself work experience in credit cooperatives system, I find some problems of XZ rural cooperative bank, such as it appears the trend of close to commercial banks, the cooperation awareness of shareholder is not strong, the vote activity of small and medium shareholders is not high, and there aren’t effective incentive mechanism and restriction mechanism. Through comparing the credit cooperative finance system among Germany, France and the United States, based on the corporate governance structure of commercial bank and economy structure features of XZ, we find that the most matched financial mode is rural cooperative bank mode. The mean job of rural cooperative bank is serviced for countryside, agriculture and farmers, but the full commercial will deviate from the rail. The complement of corporate governance structure of rural cooperative Banks is as follows: improve the shareholding of big shareholders, allow cumulative vote of minority shareholders, to stimulate the management activity through establish the option incentive and enterprise annuity and moderate supervision system. Rural cooperative Banks is the bold innovation of our country rural cooperative financial system, practitioners must adjust it to adapt to the local conditions, and make it play the important role.
