Abstract


Minority shareholders the right to vote is one of the most important rights of shareholders has often been violated under the abuse of Majority Rule , the voting rights of minority shareholders . Protect minority shareholders ' voting rights , of the Companies Act require a cumulative voting system , the solicitation of proxies from the system , the major shareholder voting rights restrictions , small shareholders to exercise the right to revoke system flaws resolutions of the shareholders' meeting . However, the above system there are certain limitations to the voting rights of minority shareholders can not be effectively protected . From abroad, the practice of the Companies Act , the Voting Trust unite the voting rights of major shareholders can contend ; Voting Trust can make up , improve the cumulative voting system , the solicitation of proxies from the system 's lack of effective participation in corporate governance . But China has no system of law provisions of the Voting Trust . This article on the basis of the cumulative voting system , the solicitation of proxies from system to protect minority shareholders voting system , to analyze the necessity and legislative idea of voting trust system protect the voting rights of minority shareholders , the introduction of voting trust system .
