Abstract


The theme of this paper is a non-public offering of securities system, the purpose is to clarify our current relative chaos of the non-public offering system to improve the non-the openness issue of system of China's securities personal humble opinion, I hope to be able to play a valuable role. The thesis is divided into three parts: introduction, body and conclusion. The introductory section introduces the writing of this article the background, the process of writing and research methods. The text is divided into three chapters. First chapter gives a brief introduction to the status of non-public offering of our current confusion, blurred the legal system as well as non-public offering development, introduction of non-public offering of some of the basic theory of non-public offering system build and perfect on China's securities market diversified financing channels to broaden the meaning. Chapter II conducted a comprehensive analysis, due to the non-public offering of legislation is scattered in various laws and regulations, so I start with the legislation of our country to find out the legal requirements of the non-public offering, and the legal system of China's current non-public offering of securities were analyzed and a set of relatively complete legislative framework, to lay the foundation for later analysis. Chapter occupy most of the length of the part of the body of this article, is the focus of this article. I abandoned the traditional master's thesis writing mode, that is, first of the extra-territorial legislation of introduction, re-introduction of legislation, analyze its shortcomings, finally pointed out how to improve. This structure does not exist the logical structure of the problem, but such a sub-chapter on the obvious differentiation, structural rigidities in the article structure, making the article readable, increase the difficulty of understanding. The author in this chapter, and foreign legislation, as well as the status of legislation in China cross introduced and discussed. Structure are not distinctive, but relatively easy to make it clear that a problem. The third chapter focuses on four issues: the variety of non-public offering of securities, issued by the object, resale, and disclosure of information, divided into four four respectively elaborated. This chapter combined the foreign legislation analysis of the legislation, combined with China's national conditions, to put forward a legislative proposal. Conclusion analysis of the prospects for non-public offering of our securities, stressed the necessity and inevitability of the non-public offering of institution building, and a brief summary of proposed should correct guidance of China's non-public offering of securities as soon as possible the introduction of the specific details of the content of the body part, play a beneficial effect on the securities market building and economic construction in China.
