Abstract


Gome 2010 battle for control of the profound impact on the development of professional managers and private enterprises . In this paper, through the analysis of its causes and effects and their countermeasures : help private entrepreneurs a correct understanding of the the Gome control of the competition , to avoid the further development of the private entrepreneurs in the company or not the introduction of professional managers , not to become a public company to generate an error affected ; private listed companies to provide a warning, to avoid making the same mistakes . In this paper, using the case study method , drawing on the framework of the mechanism for control of the competitive analysis research Gome corporate control incentives and competitive process , studies have shown that the control over the configuration and the ownership structure is not complete , the agent defections triggered principals in the important decisions of the company to lose influence further damage to the interests of the client is the incentive to control of the competitive process is the manifestation of shareholder activism , process is contested proxy contest and equity , and its essence is a major shareholder of Gome and professional managers in a dynamic , non- complete information , cooperation and non- cooperation coexist game , control the focus of competition is on the Board of Directors of the competition . Draw on the theoretical analysis of corporate governance research the Gome companies control the right to compete the root causes of the deep-level corporate governance issues , research shows that Gome 's board of directors to pursue centrism corporate governance due to lack of shareholder protection system supporting mechanism and slide down the internal control , commissioned - agency relationship , the principal agents of adverse selection and moral hazard do not trust , professional managers of stakeholder understanding of the theory of crisis triggered Gome corporate governance issues focus on the outbreak of the Gome control over the competition The hierarchy root cause . Meanwhile, the analysis of the of the Gome control over the competitive impact on the the Gome brand , investor confidence , and put forward suggestions and opinions to avoid such control over the competition .
