Abstract


Scientific and reasonable structure of university governance is the cornerstone of the modern university system. Charter of the University as a university of the \Therefore, the charter of the University building can be said to achieve an ideal way of modern university system. Charter of the University building is of great significance, foreign to build with the government, the new social relations provide a legal basis, to achieve law school; helps improve internal governance structure within the University, regulate the relationship between the various stakeholders, unified development goals. Articles from the American University charter development so far, has a profound source of law; constitution making body is the Board of Directors, but also the university's highest governing body; Chancellor of the University's highest administrative official, elected by the Board from; constitution guarantees academic freedom, professor scholarship provides a way; charter defined the teachers and students' rights and obligations; along with changes in the environment and their own articles of association itself also establishes procedures for amending the serious and clear. Through the analysis of the American university charter, China should strengthen awareness of the university charter, articles of association so as to clarify the legal status of the University, and in accordance with national conditions and explore the development of the modern university charter, the University's own internal governance clear institutional arrangements, the establishment of modern university system. Article is divided into five parts, composed by the four chapters and a conclusion. The first part is an introduction section introduces the background, meaning, ideas, methods and innovation, and current research status are reviewed. The second part of this paper involves two important concepts defined and discussed in detail the relationship between the two. The third part of the use of comparative law and text analysis. First analysis of the U.S. university charter status, and then through the Yale University, University of Michigan and Cornell University Statutes textual analysis reveals elements of governance charter. The fourth part is based on the analysis in the text get some inspiration, made a sound of university charter Prospectus need to raise the level of awareness of university; clear legal status of the University Statute; clear Presidency with professors scholarship; protect the rights of college students ; rational development of university and external relations. The fifth part is the conclusion.
