Abstract


City commercial banks established since 1995 has developed more than a decade , and gradually get rid of the initial crisis of survival , has now embarked on the road of good development . Lack of sound corporate governance in the corporate governance issues , however , the number of city commercial banks , has continued the newly established governance structure , or can not be fully achieved in the reform of the governance structure of the Companies Act , the Commercial Bank Law and related the requirements of the guidance document , which severely restricted the further development of city commercial banks . And China's \Good corporate governance is to maintain a sustainable basis for the development of city commercial banks . This article outlined by the theory on the corporate governance of the city commercial banks , compared to the corporate governance of foreign commercial banks , analyzing the status quo of China 's city commercial banks corporate governance , and concludes with recommendations to improve the corporate governance of the city commercial . This paper is divided into four parts. The first part of the theory of the city commercial banks corporate governance , defined corporate governance in the legal sense , particularity discusses the corporate governance of commercial banks and city commercial banks corporate governance particularity . The second part is the mode of the corporate governance of foreign commercial banks , mainly based on the Anglo-American representative of market -oriented governance model , and Germany and Japan invested oriented governance model , as well as Southeast Asia, family governance model . Obtained by three commercial banks in corporate governance model , the revelation of the corporate governance of China 's city commercial banks . The third part analyzes the status quo of China 's city commercial banks corporate governance , and pointed out the shortcomings of the shareholders' meeting , the Board of Directors , the Board of Supervisors in the building on the defects , as well as information disclosure mechanism and incentive mechanism , the final analysis of the cause of the root causes of these defects . The fourth part is the author of Suggestions improve the corporate governance of China 's city commercial banks , and the establishment of good corporate governance required external environment .
