Company executive pay issues in recent years much attention and discussion in many areas of academic issue, but also a problem in corporate governance , especially in the financial sector highlights . In recent years, China's financial institutions at the level of executive pay shot up sharply , compared with other industries , the financial industry executives annual salary topped the list . Based on the particularity of China's financial sector , state-owned financial institutions, executive compensation is particularly notable, as the focus of the general public to search . Remuneration system was originally developed as incentives arise , in order to motivate senior management talent to better serve the interests of the company behavior to better achieve the interests of shareholders and settings. However, the state-owned financial institutions in the current situation of executive pay , it does not well reflect the original intention of the design of this mechanism . As China 's trade monopoly of state-owned financial institutions and executives duality of identity , under the regulation of the free market mechanism of executive pay in the financial sector out of order. Plus the salary structure and salary formulate the main body, procedural flaws , it is the state-owned financial institutions led to the irrationality of executive compensation . After the financial crisis , governments have strengthened supervision of the financial sector , have introduced a variety of \large , the state promulgated a series of policies to regulate state-owned financial executive pay , although these policies have achieved some success, but state-owned financial executive pay lacunae still have to return to their roots through the improvement of relevant legal system to compensate . In this paper, the theoretical foundation of the executive compensation , talking a little legal regulation of executive compensation reasons, after the introduction of China's state-owned financial institutions, executive compensation and a detailed analysis of the status of their irrationality. In the analysis of the United States and other countries on the basis of legal provisions for China's current legal status and lack of regulation , made a number of state-owned financial executive pay Perfection of Legal Regulation suggestions. This article is divided into the preamble , body, and conclusion of three parts preface introduces the research background and significance , and the scope of this study were defined . Text is divided into four chapters: The first chapter is an overview of the theoretical basis for executive compensation , this part of the remuneration of the more superficial exposition of the commission on behalf of the theory , but to principal-agent theory of optimal compensation contracts as the starting point of the reality of obstacles the legal regulation of executive pay and reasonableness of the reasons . The second chapter is on China's state-owned financial institutions, executive compensation analysis of current situation and irrationality . At present, China state-owned financial institutions and long-term incentive portion of executive compensation is relatively small , and too large in amount , and with other persons inside and outside the industry pay gap. The state-owned industries and executives of financial institutions led to the identity of the special pay and performance do not match , the remuneration setting process , there are also injustices , which are state-owned enterprises with social responsibility - to ensure social justice does not comply . Therefore , China's state-owned financial institutions, executive compensation exists irrationality. The third chapter is the domestic and foreign -owned financial executive compensation law introduction. This section focuses on analysis of the financial crisis in the U.S., UK and Germany \The fourth chapter is on China's state-owned financial institutions, legal issues of executive compensation thinking, the first part of our analysis of the current legal regulation of state-owned financial institutions, the deficiencies , and the second part is not enough for our country , learn from the experience of the United States and other countries on the basis of Perfecting the proposed legal regulation proposals .
