Abstract


China's current Company Law relaxed the restrictions on reinvestment act to improve the protection of shareholders' equity , to stimulate investment in the vitality of the market , both from the point of view of economic efficiency or the development of the company are very favorable. Of course, the relaxation of the Companies Act reinvestment act at the same time limit , the company invested in particular, the negative effects of the formation of the complex relationship between the company and regulatory adjustments to be further improved. Meanwhile , since the introduction of the Partnership Enterprise Law , the law for the company to become a general partner problems caused by failure to consider . This paper includes an introduction , body and conclusion of three parts . The body of the main contents include: First, the company 's basic theory of reinvestment . Mainly introduces and analyzes the concept and connotation of reinvestment , a brief analysis of the company's reinvestment theory and practice . Second, the company transferred the investment behavior analysis of positive and negative effects . Company invests mainly discusses the value , it is important for companies to switch on the length of the negative effects of investment analysis with particular emphasis on the formation of the company reinvested mutual investment between companies , parent-subsidiary relationship to the legal regulation the difficulty , also analyzed the legal regulation on the Company invests legitimacy . Third, our company invested regime with foreign legal systems compared . This part of combing the reinvestment of company law law legal system , analyzes the progress Act and problems . Describes the major developed countries related legislative model , discusses the reinvestment of company direction and perfect the legal system of our country abroad Company invests legal system in China.
