Abstract


The modern corporate system are in essence a containing multiple rights subject, there are many conflicts of interest.Internal right system’s complexity and diversity need us to design a system of Shareholders’ rights to learn the truth. Through setting company’s relevant obligations and shareholders’ corresponding rights and establishing a perfect judicial measures to protect, Shareholders’ rights to learn the truth can realize finally. Many countries in the world confirmed the system of Shareholders’ rights to learn the truth in their company laws, but how to understand it exactly and perfect shareholder’s right system is still a question which worth us discussing . Although our current company law about partner rights’ protection had expanded further, the relevant regulations had more refined, compared with advanced countries , there are many insufficiency and flaw in our system. We need to perfect it, make it to ensure shareholder’s rights and avoid shareholders abusing their power.At present, many insufficiency and flaw still exist on exercise conditions, litigation procedure and so on, Judicial circles solve these disputes still lack of experience, some illegal behaviors often without effective investigated. Shareholders’ protection in practice is short of maneuverability. So in this essay, through analyzing the theories of shareholders’rights to learn the truth and comparing study of the company laws of other countries, point out the insufficiency and the flaw in our system, then propose the improvement and the consummation suggestion, in order to make shareholder’s right system get better guarantee.
