Abstract


Environmental inspection of listed companies legal system since 2001 since the implementation of more than 10 years, this system in improving the quality of listed companies to protect the legitimate interests of investors, listed companies to strengthen environmental management, improve the quality of the social environment plays an important role. However, the current system of academic research on this little theoretical results are also numbered. The lack of appropriate theoretical guidance, in practice, this system revealed a number of issues need legislation to regulate. In this paper, historical analysis, empirical analysis, and comprehensive analysis and other methods for system design flaws, the corresponding suggestions for improvement. This paper is divided into four parts. The first part is for listed companies environmental verification system overview. This part of the first sort of listed companies environmental verification regime history, be summarized as start-up phase and the phase of development and improvement, and that the current system of environmental inspection of listed companies is in the development stage of perfection. Then this paper listed companies environmental verification system concepts are defined and summarized its three basic principles, namely \The second part of the verification regime for listed companies need to demonstrate environmental protection. This section mainly from the perspective of environmental law and commercial law perspective two levels verification regime for listed companies environmental necessity argument. From the former point of view, both listed companies environmental verification regime regulating corporate environmental behavior of an ideal way to protect citizens is an important tool for environmental rights. From the latter point of view, both listed companies corporate environmental performance of the verification system an important manifestation of environmental responsibility, but also an effective means of protecting the interests of investors. The third part is a listed company's environmental status of the verification regime. This section summarizes the major listed companies in the development of environmental status verification system with the existing legislation. On the development status quo, the first legislation continues to accelerate, but the relevant provisions of the still imperfect; Second, the implementation effect is obvious, but there are still many problems. For existing legislation, the scope of this paper, object verification, verification management system, verification of content and standards, verification of basic procedures, as well as other system provides six aspects, environmental verification regime for listed companies were combing the existing requirements . The fourth part is a listed company's environmental verification regime main issues and legislative proposals. This part of the first environmental verification regime for listed companies to analyze the main problems, then for the corresponding legislative proposals put forward. For deficiencies in the system, the paper summarizes the six main areas, namely legislative system defects, defect legislative concept, management system deficiencies, defects verification system, supporting systems and the legal liability of defects defects. Therefore, this paper proposes legislative system should sound, changing legislative ideas, improve the management system, improve the verification system, strengthen the supporting systems, and the implementation of legal responsibility.
