Abstract


Finance is the core of modern economy. As the most important finance intermediaries, the commercial banks lie in the center of the world’s finance industry. The levels of commercial bank’s management not only influence the existence and development of itself, but also relate to keep the benefits of its depositors and the stability of our country. As our country has joined the WTO, for the sake of guarding against the financial crisis, improving its management, the commercial bank will face more vigorous competition.The commercial bank’s corporation governance is a topic that has important theoretical and practical meaning.Fine corporation governance structure is the mechanism of management adopted by many multinational banks nowadays. All of them take the benefits from this mechanism, with no one excluded. The commercial banks manage to make no distinction between all shareholders through a good performance, and protect the legal benefits of their shareholders and creditors (especially for depositors). Owing to the problems in the commercial bank’s governance mechanism, the writer chooses this topic as his graduation thesis and wish to present reasonable advices to improve commercial bank’s corporation governance.In the study of commercial bank’s corporation governance, we need many kinds of knowledge to be mastered, such as Economics, Laws and so on. How to improve the trustworthy and honest obligations of the board directors, and keep the function of supervisors through the laws are the main objections of this thesis. Strengthening the publishing of information and trying to guard against and resolve the financial risk, and then making sure that our nation’s finance order will keep stable-there are a lot of chances and challenges in this field for each student who wants to dedicate himself to the field of Corporation Laws.This thesis started from the present condition of our country’s commercial bank, and then coupled with other country’s experiences in the corporation governance, trying to study and analyze thee problems in the commercial bank of our country, through these aspects of economics and laws. Finally, the author put forward suggestions as followings. Firstly, considering the importance of our state-owned financial asset, this thesis elaborates how to improve the corporation governance of state-owned commercial bank. Secondly , the author expounds the corporation’s intern management structure by the means of corporation law. Thirdly, the author creates a mechanism by which commercial bank would protect his creditor more effectively. At last, the text set forth how to improve the regulations of publishing information about the commercial bank. Confidently, these viewpoints derive from both economics and laws.The main creative points are the followings.(1) To study the commercial bank’s corporation governance through both the theory of corporation in economics and the theory of commercial banks in the commercial bank law and the corporation law.(2) The Managed to put forward a suggestion to improve our country’s commercial bank after making a comparison with western bank in both theoretical and practical aspect.
