Abstract


The issue of corporate governance has great significance for improving the system of a country 's market . Due to the different countries in the political , economic , cultural , and enterprise system development trajectory , we can not find a universal model of corporate governance . Of corporate governance reform in the planned economy to the market economic system during the transition period of corporate governance reform and Western developed countries , even with the other countries of the same in a period of economic transition of corporate governance reform , there are distinct characteristics . Listed Companies in China to solve the problem must be from the largest national conditions of China 's transition economy , combined with other important characteristics of China's capital market . As the capital market is the most important one of the external environment of the corporate governance of listed companies , and its corporate governance has a vital role , so this article select the corporate governance of listed companies in the period of transition economies in China to study the role of corporate governance from the capital market . Main funding body to invest in the capital market relations , the decomposition of the governance function of the capital market for equity market governance and debt market governance in two parts , in-depth study of the governance of listed companies in China from the equity market and debt market . Of course , the same has compared to the market economies of the developed capital markets , corporate governance mechanisms in China's capital market is far from perfect , there are still more or less the problem . Learn from foreign experience based on a number of constructive views , certain theoretical value of the role of corporate governance research work on improving China's capital market .
