Abstract


In recent years, along with the perfection of the market economy system, as well as the trend of China’s growing participation in international competition, mergers and acquisitions):articularly in international mergers and acquisitions, will become expand important strategy for the Chinese enterprises bigger and stronger with low-cost. But there were a large number of mergers risk. Assessment of enterprise value is the core of merger and acquisition activity. It is not only the basis for targeting acquisitions and negotiation bargaining but also for merger and acquisition decision-making and success or failure of the merger. For Chinese enterprises business valuation aspects had been lacking because of lack of experience. Therefore, new methods of business valuation in international mergers and acquisitions will be with a strong realistic significanceThis article describes three methods:cash flow discounting method which is applies the most widespread, requires that market completeness relative valuation method and option valuation method applicable to high-tech industry. For data processing, then using sequential regression):rincipal component analysis and RBF Neural networks (RBF), support vector machines (SVM) and other methods. For the valuation system, there are three parts, first is based on the company’s industry position and operation characteristics of the environment, taken up by a comprehensive assessment of enterprises; the second part is by GA gives different evaluation factors to contact in order to complete the profit forecast, third part, it is according to the profit forecast, DCF completed its assessment of corporate value. Outotec Company which is at the environmental protection industry was selected as the example, not only to apply the enterprise value evaluation method and look for its acquisition of the target company, but also evaluate the target company value and provide data support for merger and acquisition decisions. The result shows that ENN superior performance than traditional neural networks.
