Abstract


Secretary of the Board is a unique system in common law countries, the Companies Law , first originated in the English case practice . In its long development process , the Secretary of the Board equally position the company to become an ordinary company clerk and manager , treasurer and other senior management of the process , but gradually the company law of other countries , until learn from some civil law countries the Companies Act . Practice has proved that the system of the Secretary of the Board have an active role in the governance structure of the internal and external governance structure . In domestic companies to foreign direct listing process , the system of the company secretary , legal transplantation , and gradually in China, listed companies to establish the system of the Secretary of the Board . As the legal value orientation bias, and many of the specific technical issues , the current institutional framework of the Secretary of the Board there are still more problems far failed to give full play to the efficiency of the value of this system , security, value and program value .
