Abstract


The experiences of developed countries showed us that the Stock Right Incentive is an important means in the corporate governance。After the Stock Right Incentive Mechanism introduced,it promote diversification in the remunerationof State-Owned Enterprise,maintain the rights of state controlling shareholder. But the Stock Right Incentive can not be promoted because of defective rules, incompleted corporate governance structure and irregular stock market. Even some state-owned enterprise imposed the Stock Right Incentive have lots of prombles.,For example ,the Guotai Junan, Ping an Insurance (Group) Company of China, Ltd.The article consists of five parts:In the first part, it analyzes the concept and history of the Stock Right Incentive,distinguish the similar concepts,Then introduce the Stock Right Incentive briefly.I also analyse the concept ,the importance and value of entrepreneurs of state controlling listed companies.The second part is an analysis of concrete rules and legal relationship of state controlling listed companies. In this part I analyze the existing concrete rule of china from a legal standpoint .Then analyze the the subject, the content and the object of entrepreneurs of state controlling listed companies.The third part scratch the interactive between the Stock Right Incentive of the entrepreneurs of state controlling listed companies and the corporate governance. We must prevent the manager in these state controlling listed companies from assigning remuneration themslves. We must also prevent the loss of state assets. In this part I analyse the constraint condition of the Stock Right Incentive of entrepreneurs of state controlling listed companies.The fourth part introduce the relationship of salary system and the Stock Right Incentive. Frist I alnlayze the salary system current situation of state controlling listed companies in china and argue we must make a change.Then I indicate the position of the Stock Right Incentive in the salary system of our country and emphasize the importance of Stock Right Incentive of entrepreneurs of state controlling listed companies.The last part is the problem solving one. This section mainly analyzes the important value of Stock Right Incentive of entrepreneurs of state controlling listed companies’s establishment. Then I analyze the legal impediment of operation. At last,I try to submit detailed opinions on relevant legal system construction on the Stock Right Incentive of entrepreneurs of state controlling listed companies, hope this thesis may benefit the development of our state-holding companies.This article comprehensively adopts the jurisprudence analysis method and other research methods.
