Abstract


Information disclosure system is the core of the stock market's legal system, occupies a pivotal position. Eugene Fama's Efficient Market Hypothesis, the price of the securities at any point is a response to all relevant information, any new information changes will cause the stock price immediately changes. Due to the status of securities market participants, the presence of information asymmetry, in pursuit of \to regulate and constraints. Securities information disclosure system of the building, to determine the degree of protection of a country's stock market investors. Assume aspects of the current securities disclosure system, legal system, supervision, disclosure of the content and requirements, as well as false statements civil liability with the United States there is a certain gap. In recent years, as enterprises gradually increased to the international capital markets, our businesses in the U.S. listed companies have more than once or is suffering from lead to information disclosure flaw of securities class actions, reflecting the wide range of legal issues. I strive to be the essence of China and the U.S. Securities and information disclosure system and the differences show in front of the reader, in order to lift the United States listed Chinese companies on information disclosure concerns and confusion on securities class actions.
