Abstract


In recent years , the focus of corporate governance has focused on the contradiction between the interests of large shareholders and minority shareholders . Agent problem of large shareholders and minority shareholders are increasingly replacing the agency problem between the shareholders and the operators , a corporate governance research hotspot . According to the theory of asymmetric information , the largest shareholder with control over the infringement of minority shareholders interests , to get control over the private gain of motivation . China 's listed companies , state - owned shares \Therefore, large shareholders how against the interests of minority shareholders and how to constrain such behavior is important . This paper systematically combing the literature at home and abroad , and are discussed in detail on the basis of equity checks and balances , and other related theories , discussed the checks and balances governance structure of listed companies and large shareholders control over the relationship between the private benefits , and the use of empirical analysis the relationship between the test , according to the analysis of test results and related suggestions . This paper argues that the governance structure of checks and balances within the listed companies to establish several large shareholders , constraint violations of the largest shareholder of minority shareholders to a certain extent , to safeguard the interests of small shareholders , to ensure the healthy and stable development of the securities market .
