Abstract


With the rapid development of world economy,a number of countries produced pollution and ecological damage due to use of excessive of resources,excessive waste discharge to the environment.Companies as one of the modern social and economic development protagonists, in order to promote economic development and also made great contributions to the environmental tremendous damage. Reflect the company’s own development and their relationship to the environment impact, find a balance between positive and healthy development of the company and sustainable development of environment,and the company continue to contribute to social and economic but also assume the responsibility of their own responsibility.So, formulating relevant laws to regulate and guide the company’s behavior to achieve the harmonious development of economy and environment is now the common goal of many countries in the world.This paper research on corporate environmental responsibility is divided into five parts:The first part discusses the origins of corporate social responsibility, that corporate environmental responsibility is an aspect of corporate social responsibility, and from the specific form of and the substance of the environmental aspects of corporate responsibility to conduct a conceptual analysis and definition. In defining the concept of corporate environmental responsibility and then analyzed the rise of the background.The second part discusses the theoretical basis for corporate environmental responsibility, respectively, from stakeholders theory, environmental ethics theory, the value of the external environment were discussed in theory, as discussed in the company back to start laying the theoretical basis of environmental responsibility.The third part discusses the United States, Germany, Japan, the legal liability system of the company environment, analyzes the legal systems of these countries, China should learn from the experience of them.The fourth part analyzes the environment of the company’s legal responsibility in assuming the deficiencies in the legislation and practice in the company’s compliance with laws and regulations of the problems. Part of the adoption of the legislation and practice of corporate environmental responsibility for a systematic analysis of legislative proposals for the next part of the legislative proposals and lay the foundation for the design of system.Under the above analysis to the law of corporate environmental responsibility ,the fifth part made improve environmental awareness and improve the company form a complete system of the proposed legislation, and corporate environmental responsibility in our country designed four systems, they are extended producer responsibility, environmental liability insurancesystem , corporate environmental information disclosure system and compensation mechanism of ecological environment.
