Abstract


In the past three decades, China's higher education entered from elite education to mass education transition period, in order to adapt to this special time in people's growing demand for higher education, independent colleges came into being. It is produced to property rights, institutional and investment into one of innovation, its parent universities and other investors to make independent institute legal property configuration mode formed a diversified situation. This unique corporate governance model is different from other public and private colleges and universities do. Currently defined property rights exist independent colleges unscientific, ownership and management rights are not really separated unclear property rights and other issues that will ultimately vest. Independent Colleges Dong (Management) Board system exists Dong (Li) Council's structure is irrational, director (manager) the functions of the Council is not clear, Dong (Li) terms of reference of the Council vacancy, offside and other issues. The main reason is the problem of the legal status and ownership lag, lack of clear legal norms and policy guidance, public universities educational philosophy and investment side there is a huge difference in educational philosophy, internal governance is not an effective check and balance mechanism. This article looks at how to improve the corporate governance of Independent Colleges countermeasures research, is divided into five parts, the first part describes the research questions, research purpose, significance and research methods, research status, research ideas. As independent colleges are nonprofit organization, with the characteristics of non-profit organizations, so the second part of this paper, non-profit organizations related concepts, characteristics and typical governance model to sort out, but also from domestic and foreign universities to draw a governance model useful insights, in order for the country to build and improve the corporate governance of Independent Colleges provide a reference. The third part focuses on the corporate governance of Independent Colleges key factors and problems are analyzed, and the fourth part of the proposed restructuring and improving the corporate governance of the Independent Institute of countermeasures. Construction of the first clear framework for Independent Colleges basic principles of corporate governance; secondly, a clear independent colleges and Dong (Management) Board agency relationship between the introduction of the independent director system, the establishment of Dong (Li) Council under the leadership of the school ( hospital) responsible for the system. Also proposed to establish a sound monitoring mechanism independent colleges, mainly from information disclosure, the Supervisory Board, government regulation, investment diversification, etc. were discussed. Proposed to establish a sound system of property rights, to clarify property rights, specifically the rights of the subject and the responsibilities and benefits gained, to realize the true ownership and management separation. Finally, as an external governance body of the government departments should strengthen the legal system as well as the guidance and supervision of Independent Colleges.
