Abstract


Corporate restructuring is an important means for enterprises to achieve rapid development, and maintain a competitive advantage, but also an important trend in the development of the world economy today. Enterprises should be invincible in the competition, it is necessary to continue its organizational structure and timely adjustments to achieve the optimal allocation of resources. The trend of global economic integration, corporate restructuring more and more attention of Governments and many multinational companies. The arrival of the economic crisis, is to accelerate the flow of factors of production, corporate restructuring accelerated. Because the flow of production factors, corporate restructuring, the adjustment of economic structure, so that the original imbalance of economic relations to reach a new equilibrium. Since the financial crisis broke out in 2008, the economies of many countries into recession. In order to deal with the financial crisis, governments have introduced various bailout policies to ease the economic difficulties brought about by the financial crisis. Under the impact of the global financial crisis, China's economy is also experiencing serious difficulties, the Chinese government has also introduced a variety of policies and measures to guide and encourage enterprises to enter the reorganization, in order to achieve the optimal allocation of resources, promote economic development. This thesis is divided into five parts. The first part describes the background and significance of the topic, as well as domestic and foreign corporate restructuring Research; second part mainly elaborated from the theoretical aspects of the motives of the corporate restructuring and efficiency; third part of the history and current situation of China's corporate restructuring analysis pointed out some important issues that exist in the corporate restructuring process, and then put forward the important research topics of corporate restructuring in the context of the financial crisis; corporate restructuring of the fourth part of our country's actual situation, given the existing problems in the process of restructuring, some I believe that reasonable advice and policy recommendations; fifth part conscientiously sum up the entire thesis writing process and results, and its lack of need for further in-depth study. This paper take the theoretical interpretation of the method of analysis and empirical analysis of the changes in our corporate restructuring activities and the macroeconomic environment analysis study, sum up the achievements and constraints of corporate restructuring in the past a series of corporate restructuring, and Problems in-depth analysis. Analysis based on the data and information of the corporate restructuring in recent years, especially under the influence of the financial crisis, the typical case, our corporate restructuring in the presence of the strategic objectives, the degree of market-oriented practices, property transactions, the late integration more comprehensive analysis of discourse, and on this basis put forward their views and suggestions.
