Abstract


This paper discusses and analysis of our company reinvestment of the relevant legal issues . , Discusses the company invested on the basis of legal issues , namely: What is the connotation of reinvestment behavior . Including: investment concept , necessity and prone to lead to legal issues . This part of both companies to switch to the basis of the investment issues , the logical starting point of this article . To explore investment legal restrictions , discusses investment objects ranging from legislative changes in the angle and the value orientation of the current legislation , and reasonable draw on some of the common law principle of legislation supporting . , Discusses the basic theory of piercing the corporate veil system and the positive significance of the investment with the existing Company Law legislation defects . Explore in the context of company law to ease restrictions on transfer investment behavior should be how to better protect the interests of minority shareholders are not infringed , and the company shall have to fulfill social responsibility . This part of the case began , gradually , and concludes with a discussion of a specific solution . Discussed the current Law in China Legal reinvestment regulation , and analyzes the legislative changes on the Company Law longitudinal and existing shortcomings, and suggest improvements direction .
