Abstract


The frequent occurrence of financial frauds of Chinese listed companies the level of corporate governance problem became manifest and attention . The Audit Committee is an important part of the corporate governance structure , it should be targeted in order to achieve the company essentially , improving corporate governance . Should be as independent directors and led the audit committee , its primary functions of the supervisory functions of the Audit Committee to achieve compliance with the independent director system functions - oversight ; effectively compensate for the lack of oversight functions of the Board of Supervisors , also contribute to the board of supervisors to better play a supervisory role . China 's state-controlled listed company's audit committee should give full play to its oversight functions to improve the efficiency of the governance of state-owned holding listed companies and to solve the problem of distortion of accounting information . \constraints functions .
