Abstract


Company impasse is the company in subsisting process , the shareholders and the shareholders , directors and directors , or between shareholders and directors difficult to reconcile the conflict of interest and conflict occurs , the shareholders' meeting or the board of directors can not make decisions , decision-making , implementation and management mechanism is the company can not run into a state of paralysis . To break the deadlock , the end of the the Company paralyzed state , contribute to the maintenance of the company, its shareholders and creditors of the company , the interests of the employees of the company and the social and public interests . Therefore, to explore the issue of corporate deadlock relief has important theoretical and practical significance . In this paper, using a combination of inductive and deductive research methods . By examining our corporate deadlock disputes the status quo and our relief , the analysis of the characteristics of Aggregate disputes , causes and legislative inadequacies ; relief from the corporate deadlock principle, the recommendations put forward a sound company deadlock relief in China . This paper is divided into four chapters . The first chapter is an overview of the company deadlock problem . The second chapter examines the deadlock problem of the company abroad relief. Explores the theoretical basis of the foreign company impasse relief , inspect and corporate deadlock relief system is more mature specific solutions in the United States and Germany . Chapter III study impasse disputes the status quo of our company and its relief . Cited our company impasse disputes related to the case , to analyze the characteristics and causes of , and visits our company impasse relief law , Comment its inadequacies .
