Abstract


In the last few years,the Chinese economy’s fast development,the company takes important force in drawing economic development,its revolution’s quality decides our country’s rate of economic development,our country set the establishment of modern enterprise system’s request for this reason.Adapts with it,our country promptly has made the corresponding revision to "Law of corporation",has laid the foundation to modern enterprise system’s establishment.The minority shareholder’s investment enthusiasm is an important aspect of the company can survive and have positive development.Only their rights and interests obtain the reasonable protection,can stimulate the more potential investor’s investment enthusiasm,thus provides the power continuously for our country’s economic development.The minority shareholder’s rights and interests protection has taken seriously in China,but our country present the minority shareholder rights and interests aspect’s law was still imperfect in the protection,especially in the procedural law aspect.This article based on the reform of china Shareholder’s Derivative Suits,unifies the theoretical analysis and the developed country judicial practice proposed own viewpoint.
