Abstract


The dissertation explores Employee Stock Q~vnership System in several respects. In the exploring, it抯 purpose is to study the status function and t~vorl<ing patter-n of the system. Its object is to make employees be involved in the administration of enterprise, improve economic democracy, increase enterprise抯 achievement. O~n the search t~vay, the dissertatioTl uses compare meas and philosophy of lo~v. The dissertation divided into three parts. The first part is the general anal ysis on Employee Stock O[~~nership System. First, the dissertation points out the system is a kind of stock stimulating system through the influence on corporation governance structure by ownership participation. The contents of the system include giving employee favorable policies, regulating employee抯 scope and employee stock抯 exercising. The system has many senses. Then the dissertation probes the inevitability of the system, stating that its existence is due to corporation social responsibility and market economic. It 3 con for-ms to the traditional conviction of corporate lat抳 and e~nbodies the labor capital concept. The second part analL/zes the Emploqee Stock Ownership S~stsm(EBOS) corn parativelq. The dissertation takes the U.S~14 a-nd Japan as examples to anaIL~抸e the ESOS, pointing out that the ttt~o countries take different attitude to the sL(stem because of different culture. Further-more, the essa~?also states that in Europe the sqstern is rnainlq applied in the reform of the state棗ot~抳-ned enterprises. The third part generallq analtjzes the ES OS抯 status quo of China and the future counter-measures. The dissertation studies the status ~relevant regulations and operating effect of ernploL/ce stocI( ownership i-n corporation. It points out that our ESOS should be stock stimulating sqstem. The countri.j should set up trust business to manage emploL~抏e stock and foster the 5L,/stemfl through favorable policies.
