Abstract


China, as an emerging market economy countries in corporate governance , there are still many undesirable places . In this paper , to resolve the issue of corporate governance in listed companies in China as the starting point , the system summarizes the results of previous studies , the contrast foreign model of corporate governance , in a profound analysis of a variety of corporate governance model , the development and characteristics of reality realistic mechanism of action and the effect of this model of corporate governance for companies and economic development since the implementation of corporate governance as an endogenous mechanism is the coupling of the results of phase with the external environment parameters , corporate governance , not only the importance of internal governance mechanisms , but also to focus on external corporate governance mechanism . China 's actual economic life , due to the immaturity of the elements of the market , so many external governance mechanisms can play an important role in the market economy on corporate governance ineffective or inefficient legal policy governance mechanisms as very important external governance mechanisms should play a huge role in our corporate governance . External governance mechanisms improve laws and policies , it is a practical and effective means of governance for our current improve corporate governance .
