Abstract


Management buyout (MBO) The term first appeared in the 1980s in England , a scholar from mergers and acquisitions , restructuring practice, summed up as a mergers and acquisitions . In the past two decades, management buyouts are considered to solve business agency cost effective way , and in the \In developed countries, management buyouts are many companies in mergers and acquisitions as a general means of a wide variety of financial instruments to high debt financing leveraged buyouts manner. In China, it is mainly used in management buyouts of state-owned enterprise restructuring , and because of strict state regulation of financial markets , financial derivatives lacking, our management buyouts and more with economies in transition with the Chinese characteristics . This paper examines the developed countries to implement MBO obtain social and economic effects , summarizes the present stage of the implementation of the management buy-out features , affirmed its right to deepen the reform of state-owned enterprises have a positive effect , and from the acquisition of the main , the purchase price sources of funding as well as the fairness of minority shareholders and other aspects of program management buyouts used previously conducted analysis, pointing out its deficiencies. I think , in the management of state-owned enterprises must strictly comply with the acquisition of state-owned assets transfer state on the relevant provisions of both the trust and investment companies with financing platform breakthrough financing obstacles. About the author in our existing state-owned asset transactions within the legal framework , combined with the relevant provisions of the trust system , designed for a complete set of state-owned enterprise management solutions for the acquisition of the trust , and one of the key points of the lawful and reasonable demonstration .
