Abstract


Company, as the major component of modern society, especially being the main economic activity, is no doubt about whether it should take on social responsibility or not. However it is still relatively empty on the discussions of the scope of corporate social responsibility, what kind of society responsibilities should the company take on, and how could the company afford to take these social responsibilities. The author has been aware of the existence of the room for further discussion, and is ready to take this topic as the research direction and this thesis.This thesis is going to start with the theory development of corporate social responsibility and analysis for further deep. It tried to clearly define, with illustration, the scope and the object of corporate responsibility. Meanwhile, the author will endeavor more on the legal approach in establishing corporate social responsibility as a social convention, and attempts to, by discussing the necessity of legal governance of the internal management structure, find a new starting point for the establishment of corporate social responsibility convention.As an academic thesis , this one intentionally run away from a macro outlook of corporate social responsibility, for there are abundant discussions on this point which can be referenced to the contributions of other scholars. This thesis is holding a perspective of legal profession, and to think from a practicing level, i.e., in the transforming corporate social responsibility from a stream of thought to a definite convention, what role the rule of law and institutions can play.Meanwhile, being aware of the establishment of a complete system is complex and thought consuming, the author knows that the rule of law is only valid when it come down to practice. Only to make law as a bridge, can pure ethics and legal rations be linked together.Finally, the author will start from the system of internal management of corporation, and go through the corporate veil piercing rule, independent director rule, shareholder’s proposal right and information disclosure. By so doing the author hopes that the legalization of corporate social responsibility can be quantified into several direct entry point. The Author also hopes that by emphasizing "to achieve corporate social responsibility, not only a social environment is binding, but starting from the internal management works", we could find a way to, from the very basis, regulate the corporate behaviors, and urge modern corporations to take their social responsibilities spontaneously.
