Abstract


\risk , value creation for the enterprise paid the price , so stakeholders should have partial ownership of enterprises and to participate in corporate governance . The face of unprecedented global economic crisis , China has planned market economy makes the market is still not perfect , the legal system is also inadequate , how to protect the interests of stakeholders , the face of increasingly complex corporate governance , entirely dependent on the legal system protection is unrealistic , it is difficult thoughtful . So look outside the law system protection, alternative and complementary legal system to protect the interests of stakeholders will become less important research paper . Outside of the legal system in this paper has defined stakeholder theory based on several able to generate strong and effective corporate governance laws affect system : media , market mechanisms , tax administration , financial intermediaries and corporate governance role of union workers were mechanism Analysis and game Theory. Studies show that they lack legal protection can be alternative and complementary , can affect and improve corporate governance . According to the conclusions on strengthening the legal effect outside the system of corporate governance , put forward relevant policy recommendations. The main contribution of this paper is to propose a media market mechanisms , tax administration , financial intermediaries and workers unions in corporate governance in an important position , can give full play the main role in corporate governance , corporate governance can improve efficiency, better to protect the interests of stakeholders .
