Abstract


Economic transition countries to improve the core of company governance, and the owner and operator is in build a checks and balances between economic relationship, to maximize the value of the company. Starting in the 1990 s, Russia's economic transition is one of the main content of privatisation, the Russian government wants to through the privatization of property right to improve the competitiveness of state-owned enterprises. Enterprises after privatization has changed ownership structure and control, basically achieved "share capital structure diversification" ownership structure, and control are mainly concentrated in the hands of "insider", accordingly, after the privatization of corporate governance is also presents the characteristics of "insider control". The issue of shares in company law to deal with the problem of "insider control" with little success. Western and Russian domestic some economists draw lessons from the experience of German and Japanese corporate governance, combined with its own national conditions in Russia is proposed to deal with the problem of "insider control", the bank will play a crucial role, leading bank corporate governance pattern is the best choice for improving corporate governance in Russia.
