Abstract


China first adopted by the Companies Act 1993 , has made ??outstanding contributions to the development of China 's economy in 10 years time . But limited to the lack of the historical limitations under the theory , coupled with recent years, with the rapid development of the market economy , more and more problems exposed by the original company law . The modifications of the Companies Act has been widespread concern of the community , legislators listen to the views of all parties , respect for the reality of China , follow the international trend , have been major breakthroughs and innovations in the legislative concept . Which encourage investment values ??have been fully reflected in the new Companies Act . For example , the new company law allows the establishment of a one-man company , from one-sided emphasis on capital credit the legislative philosophy adjustments to take into account the capital credit and credit assets , reduce barriers to enterprise established to relax the control of the kingdom of the company , significantly reducing the company established the minimum registered capital , the relaxation of the shareholders' capital contribution in the form of restrictions , allow capital contributions paid in installments , the abolition of restrictions reinvestment . These provisions are to encourage a concrete manifestation of the concept of investment value , the introduction of the new Companies Act will promote the establishment of the company , to promote the development and prosperity of the capital market , and so to promote the development of the socialist market economy .
