Abstract


Mergers and acquisitions is the inevitable result of the development of market economy , it is transferring property between a corporate economic behavior . In the process of mergers and acquisitions , the valuation of the target company occupies a central role , its mergers and acquisitions to the ultimate success of restructuring after the merger and acquisition and integration plays a vital role . The lack of systematic and in-depth study of domestic and international M \u0026 A valuation of the target company , the relative valuation method - assets plus and law , market valuation method and the discounted cash flow method , the value of the enterprise from a different side elaborate , build a a relatively mature valuation model , but there are certain inadequacies . In view of this, the valuation of the target company M \u0026 A redefinition of trying to build a more scientific , more reasonable , more applicable to the situation of China 's target enterprise value assessment system . This paper argues that the value of the target company , is composed of three parts of the present value of the potential value of mergers and acquisitions premium , the assessment of the value of the target company , in fact, is the assessment of the value of these three parts . At the same time, the M \u0026 A risk assessment should also order from more objective , more scientific point of view to fix the value of the target company . The innovation of this paper is that the M \u0026 A valuation of the target company 's research into a systematic analytical framework to construct the Evaluation to assess the contents of the assessment indicators and the conclusions of the assessment , including assessment system . In addition, starting from the angle of mergers and acquisitions in the value of the target company , the target enterprise value attributed to the current value of the potential value of the acquisition premium , and occupies a major proportion of the more complete financial indicators and possession of a minor proportion of the non-financial indicators to evaluate the system 's design , to be accurate , scientific assessment of the value of the target company .
