Abstract


With the further research about the human capital theory, it has been found that the material capital contributes to the development of the social economy as important as the human capital do Since the 60’s of 20 centuries. Especially the human capital has been the decisive factor in science, technique and the knowledge realm. Because of the indelible contribute to economy, the material capital has got the authorizations. Science, technique and knowledge, namely the human capital, should be treated as equal as the material capital. The human capital is similar to material capital to contain the ability for enduring the risk and mortgage. With the cognition to human capital, it’s found that enterprise is a contract that human capital and nonhuman capital form. The owners of human capital should share the enterprise surplus value because they are scarce to their enterprise. The ownership and the control of the enterprise are separated. Under the situation of the entrust-agent and dissymmetrical information, how to solve problem about the enterprise residual control right and the residual ownership right the enterprise between owner who hasthe material capital and the managers who have the human capital is important for the development of the enterprise.Based on the original enterprise form, the corporation governance could not form the same recognition between the human capital and the material capital. When the human capital and the material capital is a particular contract, the corporation governance faces the problem that how to arrange the human capital and the material capital. This article regards the human capital theory, the modern enterprise theory and the corporation governance as the point of departure and analyzes the relations between human capital and the corporation governance and the foreign corporation governance practice and the actuality of human capital participate in the corporation governance in China. At the same time, the author regards the public company in Inner Mongolia autonomous region as the research object and proceeds the empirical analysis to them. The author constructs the internal corporation governance mode of the public company in Inner Mongolia in which the human capital participates in the governance together.The article has several innovations as follow:Innovation of the angle of view. The corporation governance research that based on the material capital contained the balance of the board of directors, the shareholders and the managers ago. This article that bases on human capital research the great meaning of it to the internal corporation governance.Innovation of the research content. The article regarding the human capital as the angle of view, regarding the public company in Inner Mongolia as the researchobject, particularly proceeds empirical research to the internal corporation governance.
