Abstract


Intellectual property licensing intellectual property rights are implemented major way , is also an important way of intellectual property objects constantly update and progress . Intellectual property license agreement , however , there is often some of the terms and conditions , these terms limit the license the parties engaged or not engaged in the production, management , research and development activities , which is called the restrictive clauses . Restrictive terms of intellectual property licensing activities , especially as the introduction of technology in developing countries of the licensor and economic development had a negative impact, and thus become the object of attention of all countries and legal regulation . However , the restrictive terms of legal regulation , the international presence of the two opposing camps: developed and developing countries . Judgment standards , legislative mode , rule of law , judicial practice , the two camps are there are large differences and conflicts . As a developing country , China's foreign intellectual property trade also well received by the restrictive terms of the harm and whom troubled . From a comparative law perspective , on the basis of introduce the major countries of the world as well as relevant international organizations on the legal regulation of the restrictive clauses , try simple comparative analysis , in order to restrictive clauses on China 's legal system construction and perfect benefit .
