Abstract


This article is to study the capital structure of listed companies in China control over . The capital structure is a very important issue in financial theory is the core content of corporate governance . Although the problem of China 's listed companies control over surface looks complicated , but rooted in the capital structure . Firstly, capital structure and control of the economic explanation. This paper argues that the capital structure includes not only traditional equity capital structure , debt capital structure and capital structure of non-financial content should include : capital structure in essence is a \. The introduced four representative model of the capital structure of control theory , the paper further analysis of the relationship between corporate governance and capital structure . Control over meaning comes mainly from the residual rights of control , but its scope should be broader . Analysis of different forms of enterprises , corporate control over the configuration is different . Therefore , control over corporate governance are closely related. On this basis , the stakeholder theory of capital structure and control of the basic analytical framework . On the basis of theoretical analysis , this paper analyzes the system evolution and current status of the control of listed companies in China . For the status quo , we start from the optimization of the capital structure , both internal and external institutional arrangements to solve the problem of control over listed companies in China . Need to strengthen internal the equity control mechanisms , the hardening debt constraint mechanism and improve the human capital incentive and restraint mechanisms ; need to promote and improve the securities market in the external , vigorously develop the bond market , institutional investors actively nurture and strengthen the system of information disclosure of listed companies .
