Abstract


Company play a role in the social and economic life , as a prerequisite for the effective presence of the company . Modern company law , the company put in place a system to occupy an important position , expressed concern about the various countries of the Companies Act to establish a system of the company . In China, with the establishment of a market economic system and the degree of opening up to further strengthen the people to invest in the establishment of the company 's enthusiasm to constantly enhance ; theorists in China to establish a system is still very weak , and in the system of company establishment procedures on theory and reality , out of touch , the research firm, to establish a system of great theoretical and practical significance . Law in China started late , the system of the company to establish a system to establish the company with the civil law and common law countries both similarities and there are differences . Countries make different legislation designed to prevent erected a company set up their company . This much we learn from research company law system and the civil law and common law countries is necessary . The establishment and development of the process of contemporary Chinese legal system , based on the comparison of China and the civil law and common law countries, the company put in place a system summary and analysis of the Law in China to establish a system of experience and inadequate ; West the legal regime successors or transplantation , the localization of its advanced experience of the rule of law , for our company to establish a system of efficient and orderly manner to provide a reference .
