Abstract


With the development of market economy , some companies in the competitive environment due to various reasons and difficulties , can not repay their debts in a timely manner to the brink of bankruptcy . The interests of creditors in order to avoid social unrest caused by the bankruptcy , losses and other adverse effects , the enterprise debt restructuring. The debt restructuring is the matter of the creditors agreed to modify the terms of a debt of the debtor in accordance with the agreement reached with the debtor or the court's ruling . In this paper, the concept of debt restructuring from the start by the laws of the various restructuring actions , combined with the actual restructuring cases , find the problems in the restructuring , and the lack of protection from its creditors under the status quo for the debt restructuring laws and regulations , made some suggestions , hoping conducive to debt restructuring to better maintain a good social and economic order . The first part of this paper first analyzes the concept of reorganization , debt restructuring and other forms of restructuring to distinguish . The second part analyzes the meaning and effect of the debt restructuring , pointed out that the implementation of the debt restructuring system of great practical significance in modern society . The third part of the specification debt restructuring in China 's laws and regulations , and highlights the most important legal norms on debt restructuring \The fourth section describes the accounting measurement of various recombinant behavior , and from the perspective of legal analysis . The fifth part through the analysis of the actual cases of debt restructuring to find the problems of the current debt restructuring laws and regulations . Finally, Part VI , respectively, from the point of view of accounting and commercial law unfavorable status quo for the protection of the interests of the creditors in the restructuring proposed improvement measures and legal advice .
