Abstract


Corporate mergers and acquisitions is an inevitable trend , accompanied by the deepening of economic globalization and the formation of an important element of future corporate management must be involved . The current situation , the state-owned enterprise reform , industrial restructuring provides unprecedented opportunities for the development of private enterprises , large private personal capital , mergers and acquisitions . However , due to the lack of a complete set of standard operating procedures and guidance ideas , many private entrepreneurs or individuals in the process of mergers and acquisitions of state-owned stock of assets go quite a few detours , and even lead to mergers and acquisitions fail . Several aspects of a complete corporate mergers and acquisitions , including mergers and acquisitions before the selection of the target company , the specific implementation of the M \u0026 A process as well as post-merger integration , these links are complementary . The purpose of this study is found that the performance of private enterprises M \u0026 A risk characteristics and produce law , to explore the merger risk identification , evaluation , carried out a detailed analysis and study of the acquisition process , and summed up a complete specification acquisition operational processes , to regulate mergers and acquisitions risk management , and reduce the risk of corporate mergers and acquisitions .
