Abstract


Commercial bank reform is the focus of China 's financial reform , the four state-owned commercial bank reform is a top priority . With Huijin Bank of China , China Construction Bank to inject $ 45 billion of foreign exchange funds to build internationally competitive modern joint-stock commercial bank for the objectives of the reform of state-owned commercial banks , joint-stock reform opened the prelude , no doubt , the state-owned corporate governance reform the core of the reform of commercial banks and key . The article aims to explore some of the problems exposed in the corporate governance reform in the state-owned commercial banks , put forward some useful insights to improve the corporate governance of state-owned commercial banks in China . The article is divided into four parts . Commercial banks operating currencies special , the first chapter from the modern corporate governance theory about , leads to the meaning and goals of the corporate governance of commercial banks ; Chapter II describes the background of the four state-owned commercial bank corporate governance reform , Chapter the use of empirical methods course and achieved initial results , and then cited the urgent problems that exist in corporate governance reform of state-owned commercial banks ; comparative analysis of the successful experience of the competitiveness of the domestic and foreign commercial banks and large foreign banks corporate governance ; four chapters of the Revelation of combined experience in the corporate governance of large foreign banks , proposed several possible ways of how to improve the corporate governance of state-owned commercial banks : the formation of effective checks and balances of the shareholders' meeting , the Board of Supervisors and management ; regulate the introduction of foreign strategic investors ; establish reasonable and effective incentive mechanism ; achieve full disclosure of information ; corporate governance to strengthen state-owned commercial banks to the construction of the external environment .
