Abstract


Share merger reform is our country’s the complex question which forms in economic system switcher process production, and is at present the biggest barrier which hinders our healthy development of stock market. In particular the China capital market and the international market connects rails under the WTO background, its properly solution will be able to provide the formidable propelling force for the Chinese economy development. Revised along with the tenth session of Standing Committee of the National People’s Congress 18th conference passed the new People’s Republic of China Law of corporation and is the new People’s Republic of China Securities law, marked our country market economy soon to enter quickly the maturer development phase. In 2005 share merger reform to appear in under the economical development are especially urgent and important. But our educational law field regarding this question response is actually average, rarely has the articles which the share merger reform. However regarding the relational benefits of country, the enterprise, individual and so on various aspects, the legal vacancy is cannot imagines. Therefore, the author has had the strong research interest regarding this on the question.This article altogether divides into three parts. The first part sets at the basic problem analysis for the share merger reform. In the first part, first, analysis to the semantic evolution of the share merger reform, clarifies "the share merger reform " a language origin, at the same time attempts to it to carry on the legal prescription, namely: The share merger reform, is refers because the early system design and the guiding ideology form in the mainland-listed companies of Chinese Renminbi common shares lead to the special stockholder’s rights structure and the market system which devide from tradable and non-tradable shares. Next, elaborated the formation which the share merger reform.
