Abstract

Issued by the \However , the legal system of China's securities liability provisions of the securities of the issuer and the main breach of disclosure obligations , but most of them emphasized that administrative responsibility and civil liability only some rudimentary requirements . This article discussed from two aspects of the relief and litigation of substantive law implementation mechanism sound legal system of civil liability for misrepresentation of the securities issued . In this paper, the promoter of the issuer and the securities issued false statements negative no-fault liability , the person other than the issuer negative presumption of fault liability ; causal relationship , we only need to prove the fact of the existence of false statements and investors suffer ; perfect representative people litigation system and the implementation of litigation guarantee system to improve the mechanism of action of civil liability for false statements .
