Abstract


With the continuous development of information and communication technology, mankind has entered the era of the knowledge economy, the core of competition from the traditional product competition and brand competition between enterprises turned to the technical standards of the competition, the the standard competition has become the highest form of competition among enterprises. The increasing complexity of the product technology and the accelerated pace of technical updates make individual enterprises achieved the success of the standard of competition is difficult to rely on their own strength, Standard Alliance to solve the problem of lack of their own ability to produce, and gradually become the standard competition actors between the standard competitive evolution of the the standard alliance between the competition. China's technology standard alliance due to the short time of operation, the lack of operational experience, there is no effective standard alliance governance structures and governance mechanisms, most of the standard Union level is not high, and the Union internal corporate relationship loose, the serious opportunistic behavior, Standards Alliance The life cycle is very short-lived. How to sort out the internal relations of cooperation and competition of the standard Union, the standard structure of the Union is standard alliance which governance structures and governance mechanisms appropriate choice of the governance structure and governance mechanisms and how, according to China's national conditions and the specific circumstances of the Union to become concerned about focus. Standard alliance governance issues is conducive to promoting understanding of the technical standard alliances innovative forms of organization governance law, help to promote the growth and development of high-tech enterprises and Standard Alliance, and help to guide the establishment of standards in line with China's national conditions Alliance governance model . This article is based on the above issues, of standard alliance governance issues. In this paper, a comparative analysis of methods comparison, the standard contract structure and shareholding structure of the Union, summed up the two characteristics of the governance structure, as well as their respective strengths and weaknesses, and provides criteria for the choice of the governance structure of Standard Alliance. Meanwhile, the case analysis method, combing IGRS process of constant development and internal governance structure, IGRS explore the history of the alliance governance and to take the background and causes of the the dual legal entity structure. Previous research results in the standard competition standard alliance theory and Standard Alliance advantage collate and comment, and a systematic analysis of the cooperation and competition between standards within the Union between enterprises. Standard Alliance governance issues from the two aspects of the governance structure and governance mechanisms to clarify the standards within the Union on the basis of, research, and analysis of the content of the standard Union Contract and equity-type difference of the two governance structures and governance mechanisms, last case IGRS the dual legal entity structure. Through the above studies draw two conclusions: First, the standard Union cooperation and competition among a competing organization, the League of internal corporate relations affect the coalition's stability and performance of the Union, to sort out the standards within the Union cooperation and competition between standards Alliance governance research the premise; Second, the main problems of our standard alliance loose internal relations, serious opportunistic behavior, resulting in the short life cycle of Standard Alliance, an equity alliance to strengthen the internal members of the self-restraint and control, reducing opportunistic behavior conducive to establishing a lasting alliance partnership, an equity alliance is more in line with the realities of our standard alliance development.
