Abstract


Corporate enterprises are typical of modern enterprise organization form , the fundamental characteristic is the separation of ownership and management , that is, from the ownership of physical capital derived possess, use and dispose of rights equivalent to ownership separation . Ownership and the rights which it derives the separation , resulting in corporate enterprises , the various stakeholders are linked together through a series of contracts . Therefore, the specification and processing of a variety of contractual relations firm institutional arrangements , known as corporate governance . Through effective corporate governance can be reduced as a result of separation of ownership and efficiency losses , save social cost and improve the efficiency of society . This paper argues that financial governance in corporate governance core position . As long as property rights are effectively configured to be able to guarantee the maximum extent of corporate governance is effective. With the rapid development of China's market economy and further deepen the reform of state-owned enterprises , especially private enterprises to flourish , corporate governance and financial governance as an important research topic increasingly academic attention , and strengthen private enterprise corporate governance and financial governance for standardizing the operation of enterprises , enhance shareholder value has important theoretical and practical significance. In this paper, corporate governance and financial governance definition of the concept of both the start , through the relevant literature review and analysis , discusses private enterprises Corporate Governance and Financial Governance intrinsic relationship and Tech Qing'an Chemical analysis of the current case China's private joint-stock enterprises deficiencies in the system of corporate governance structure and the corresponding measures for improvement . This article will focus on the study of private enterprise financial aspects of corporate governance to Qing'an Chemical Tech corporate governance structure and financial governance of the background and foreground for the study, the specific operation of the company's financial management has been studied . Financial governance through the reaction force on corporate governance , financial external internal restraint mechanism analysis and optimization of property rights and other aspects of configuring specific comments and suggestions on the present governance structure of private joint-stock company 's financial management has a certain significance .
