Abstract

Public offering system for a specific object, contributed to the generation of non-listed public companies in China, as well as the legacy of our history of private placement companies were included in the scope of its specification, and provides a way to solve the existing problems in China's private placement companies. Currently, the stock issuance and trading of unlisted public companies in China is in a state of disorder, lack of stock trading channels, refinancing is limited, leading to an endless stream of black market trading and illegal securities activities, the urgent need for its regulation. This paper in comparison to the multi-level capital market conditions, learn from the United States, Japan and Taiwan of China on the basis of the private placement of objects related systems, combined with our laws, regulatory requirements and the actual market situation, to build our unlisted public company stock issuance and trading regulatory regime. Specifically, this demonstration commenced following ideas: the first chapter of a non-listed public company stock issuance and trading supervision of necessity. Unlisted public companies and related concepts are discussed based on the basis of the stock issuance and trading of the problems and the need for supervision.
