Abstract


With development of China’s market economy, the Chinese enterprises become stronger and stronger, the merger & acquisition is no longer strange to us.There are more and more excellent corporation go abroad to ask for development. We know " merger & acquisition is the easiest and the most immediate method. But before the merger, we need to have a profound cognition of target enterprises. To boot, in order to stand in a more advantaged position, we must have exact evaluation of it. This paper’s purpose is to improve work about merger.There are four chapters in this paper, in the first one, I introduce the theory’s development course of evaluation of enterprise; in the second, I briefly recommend concept about enterprise’s value, and look back the history of Chinese corporation’s merger.; in the third, I detailedly expound popular methods of evaluation, such as relative value、discounted cash flow、real options and so on, under my analyze, I indicate difference of those method, and give some suggestion how to choose it; in the last chapter, I choose the discounted cash flow method to demonstrate one casus which about SAIC group and Shanghai diesel engine stock company, then give some conclusion.
