Abstract


In recent years, the rapid development of securities market in China has experienced unprecedented prosperity, also experienced international financial crisis. To improves the quality of listed company. In January 2004 the sponsor system of our stoke marker was formally established. In May 2009 further amended the period applicable to the Main Board and Growth Enterprise Market of the sponsorship system in China has been improving gradually. However, due to the issuance of securities regulation, but still, for misunderstanding of the Sponsor status and with design flaws.At present, the disputes of the current sponsor system focused on the following aspects: the mechanism of selecting sponsor representatives is unreasonable as it is focused too much on exams; compared with the current situation of our securities market, the time limits of sponsor’s responsibility is too short which may make the system not conducive to exert its effectiveness; the accountability system of the sponsor needs to be perfected, leaking of civil liability provisions results in a low cost for the sponsor to violate the rules. Therefore, we should learn the experience from those mature foreign securities market, combining with China’s reality, and then constantly explore and perfect our sponsor systemThis article is consisted of three parts including the foreword, the body and the conclusion. Body part is divided into four chapters, expounded the Securities Sponsors internal principle. The first chapter is about the concept of the sponsor system and the functions of the basis for the operation of the sponsor system. The second chapter is mainly comparatively analyzed the experience of company’s access standard in England, USA, Hong Kong. The third chapter is the introduction of the sponsor system, and pointed out the China Sponsors problems and analyzed in detail: the mechanism of selecting sponsor representatives is unreasonable as it is focused on exams too much ; compared with the current situation of our securities market, the time limits of sponsor’s responsibility is too short; the accountability system of the sponsor needs to be perfected, lacking of civil liability provisions results in a low cost for the sponsor to violate the rules. The fourth chapter is also the last part; it put forward corresponding improvement recommendations for the above problems.
