Abstract


Enterprise as a profit-making organization , along with the economic globalization , Law and Business era , where business is increasingly frequent , the company's business is more and more complicated , the relationship between the face of so many stakeholders , external operating process environment changes , the emergence of a growing number of legal risk , companies suffered huge losses . In the face of so many sudden and legal risks, enterprises can not predict the traditional legal system has been unable to adapt to the economic development requirements. To help enterprises more effective prevention and control of legal risk to avoid losses caused no legal protection operations , we advocate the building of a new legal system . This article in the Chinese enterprises to the traditional legal system to interpret the current Enterprise Law Service work of the steering , from a simple to solve legal disputes are now legal risk prevention , the face of so much legal risk of breeding traditional enterprise legal system did not know what to do . Enterprise modern legal system of the establishment marked the forensic work has been extended to the prevention and control of legal risk , General Counsel System as an enterprise modern legal system 's core , than that of China and the United States the total legal adviser , depth parsing Chinese total legal adviser 's role can not fully play the reasons is that Chinese enterprises due to the American Enterprise rooted in the soil of the corporate governance structure of the internal power imbalance . Finally , according to the actual situation of China's enterprises to build enterprises new legal system , from the original single legal organization development become oversight functions independent legal system , that is composed of a total legal advisers leadership of the Ministry of Justice Organization legal system to protect their independence and function of legal supervision , the General Counsel in the corporate governance structure , corporate legal work in dispute resolution from the original to use the law to protect the operations of the corporate strategic plan . At the same time , I think that the General Counsel will be bound with the economic development in a growing number of enterprises established, exercise and occupational norms in order to safeguard their rights , I propose to make up for the blank , strengthening legislation on the cultivation of reserve talents .
