Abstract


The implementation of the national strategy of \win-win strategic objectives. With the rapid growth of cross-border mergers and acquisitions of Chinese enterprises \For Chinese enterprises , due to the outside environment and domestic , the specific legal and regulatory requirements of foreign countries have different characteristics , coupled with foreign capital on cross-border mergers and acquisitions of Chinese enterprises behavior misgivings , making Chinese enterprises overseas mergers and acquisitions under extremely unknown competitive pressures and strong operational risks. Therefore, there is no protection of the Chinese government to guide and promote the Chinese enterprises to \However , the role of government enterprises overseas M \u0026 practice proved to be pros and cons, is a double-edged sword . Government overseas acquisitions problem , in which to play , is now playing a role to promote the improvement of the law , how to strengthen government services , and enhance the ability of corporate mergers and acquisitions to become one of the key factors in the success of domestic mergers and acquisitions . In this regard, this paper based on the Current Situation of Chinese enterprises overseas mergers and acquisitions , starting from the Chinese enterprises overseas M \u0026 A policy and legal issues , in-depth and detailed analysis of the current regulations , policies and systems ; same time , the passage of legislation between the major developed countries enterprises overseas M \u0026 compare , and then the government regulators or services should play areas in which the service functions , and what areas you want to policies, laws and other aspects of empirical investigation .
